Terms of service
OVERVIEW
This website is operated by Ayaba Coffee Ltd. Throughout the site, the terms “we”, “us” and “our” refer to Ayaba Coffee Ltd.
Ayaba Coffee Ltd is a UK-based green coffee importer and supplier. We source and supply green coffee, including Arabica and Robusta, primarily to coffee roasters, importers, distributors and other business customers.
These Terms of Service govern your use of our website and, where applicable, your dealings with us in relation to samples, quotations, orders and the supply of green coffee.
By accessing or using this website, you agree to these Terms of Service. If you do not agree with these terms, please do not use the website.
These website terms do not replace any separate written quotation, purchase order, supply agreement, specification or other commercial agreement agreed between Ayaba Coffee Ltd and a business customer. Where there is a conflict, the specific written commercial agreement will take precedence to the extent applicable.
Our website is hosted on Shopify, which provides the online platform used to operate our website and related services.
SECTION 1 — BUSINESS-TO-BUSINESS USE
Our website and services are primarily intended for business users, including coffee roasters, green coffee buyers, importers, distributors and other commercial customers.
By submitting an enquiry or placing an order with us, you confirm that you are acting in the course of a business or professional activity.
Where you request samples, quotations or commercial information, we may ask for relevant business and contact information so that we can properly respond to your enquiry.
SECTION 2 — GREEN COFFEE INFORMATION
We make reasonable efforts to provide accurate information about the coffees we offer, including, where available:
-
Origin
-
Region
-
Variety
-
Altitude
-
Processing method
-
Harvest
-
Moisture
-
Physical specifications
-
Defect information
-
Cup or sensory information
-
Available quantities
Coffee is an agricultural product and natural variations can occur between lots, harvests and shipments.
Information provided on our website may therefore be general or indicative unless expressly identified as a specification for a particular lot.
Where a quotation, sample or lot specification is provided for a particular coffee, that information should be considered in the context of that specific lot.
SECTION 3 — SAMPLES AND COFFEE EVALUATION
We encourage customers to evaluate samples before committing to commercial quantities.
Samples are provided to allow customers to assess the coffee through their own roasting and cupping procedures.
A sample does not necessarily guarantee that every subsequent shipment will have identical sensory characteristics. Agricultural products can naturally vary, and commercial supply is subject to the specifications agreed for the relevant lot or order.
Customers are responsible for carrying out any testing, roasting, cupping or other evaluation they consider appropriate before placing a commercial order.
SECTION 4 — QUOTATIONS AND PRICES
Prices and availability may vary according to origin, coffee specification, quantity, harvest, shipping costs, exchange rates, logistics and market conditions.
Any price displayed on our website or communicated informally should not be treated as a binding quotation unless expressly stated otherwise.
A quotation issued by Ayaba Coffee Ltd will normally specify the relevant coffee, quantity, price, validity period and any applicable delivery or payment terms.
Unless otherwise agreed in writing, a quotation may expire after the period stated in the quotation.
We reserve the right to correct genuine pricing or specification errors before an order is accepted.
SECTION 5 — ORDERS AND ACCEPTANCE
A customer enquiry, purchase request or purchase order does not automatically constitute acceptance by Ayaba Coffee Ltd.
An order becomes binding when we have confirmed acceptance of the order in writing or otherwise confirmed that the order has been accepted.
We may decline an order where, for example:
-
The requested coffee is unavailable
-
The requested quantity is unavailable
-
The requested specification cannot be met
-
Payment or credit arrangements are not acceptable
-
Delivery arrangements cannot reasonably be fulfilled
-
There is a genuine commercial, regulatory or logistical reason preventing supply
Any specific conditions agreed for an order will be confirmed in the relevant quotation, order confirmation or supply agreement.
SECTION 6 — MINIMUM ORDER QUANTITIES
Minimum order quantities may vary depending on the coffee, available stock, packaging, logistics and the customer's requirements.
We may accommodate trial quantities or smaller orders where commercially practical.
For larger or ongoing programmes, we may agree specific volume, procurement and delivery arrangements with the customer.
SECTION 7 — PAYMENT
Payment terms will be stated in the relevant quotation, invoice or commercial agreement.
Unless otherwise agreed in writing, payment must be received in accordance with the agreed payment terms.
We reserve the right to require payment in advance, a deposit or other appropriate payment arrangements depending on the order and customer circumstances.
Where an invoice remains unpaid after the agreed due date, we may suspend further deliveries or services until the account is brought up to date.
Nothing in these terms limits any statutory rights or remedies available to Ayaba Coffee Ltd in relation to unpaid commercial invoices.
SECTION 8 — DELIVERY, IMPORT AND LOGISTICS
Delivery arrangements will depend on the relevant order and may include transport from origin, international freight, customs clearance, warehousing and delivery within the UK.
Unless expressly agreed otherwise, responsibility for particular transport, customs, duties, taxes, insurance and delivery costs will be set out in the relevant quotation or commercial agreement.
Estimated delivery dates are provided in good faith and may be affected by factors outside our reasonable control, including shipping delays, customs procedures, port disruption, weather, agricultural conditions and other logistical events.
Where specific Incoterms are agreed, those terms will apply to the relevant shipment.
SECTION 9 — COFFEE QUALITY AND NATURAL VARIATION
Green coffee is an agricultural product. Natural variation may occur in colour, size, density, moisture, sensory characteristics and other physical properties.
We aim to supply coffee in accordance with the agreed specification for the relevant lot.
Where quality specifications are provided, customers should evaluate the coffee against the agreed specification rather than relying solely on photographs, website descriptions or general origin information.
Sensory characteristics described on our website are intended as guidance and may vary according to roasting method, equipment, brewing method, storage and other factors.
We do not represent that any coffee will produce identical results in every roasting or brewing environment.
SECTION 10 — INSPECTION AND NOTIFICATION OF ISSUES
Customers should inspect coffee as soon as reasonably practicable following delivery.
If a customer believes that coffee does not conform to the agreed specification, the customer should notify Ayaba Coffee Ltd promptly and provide reasonable details of the issue, including relevant lot information and, where appropriate, photographs, measurements, samples or other supporting evidence.
We will consider reported quality issues fairly and in accordance with the relevant order, agreed specification and applicable law.
Customers should retain representative samples of the affected coffee where reasonably possible so that the issue can be investigated.
SECTION 11 — RETURNS, CLAIMS AND REMEDIES
Because green coffee is a commercial agricultural product, returns and claims will be handled according to the circumstances of the individual order and any agreed commercial terms.
No return should be arranged without contacting Ayaba Coffee Ltd first.
Where a claim is accepted, the available remedy will depend on the circumstances and may include replacement, credit, refund or another remedy agreed between the parties, subject to applicable law.
Nothing in these terms excludes or restricts any liability or right that cannot lawfully be excluded or restricted.
SECTION 12 — WEBSITE INFORMATION
We aim to keep the information on our website accurate and up to date.
However, we do not guarantee that every piece of information on the website will always be complete, current or free from error.
Website content is provided primarily for general information and may change as coffee availability, harvests, specifications and business arrangements change.
We may update, remove or amend website content at any time.

You should review the relevant third party's terms and privacy policies before using their services.
SECTION 15 — USER SUBMISSIONS
If you voluntarily send us information, feedback, suggestions, photographs, documents or other material, you remain responsible for ensuring that you have the right to provide that material to us.
You must not submit material that infringes another person's intellectual property, privacy or other legal rights, or that contains unlawful, harmful or malicious content.
Where we need to use information you provide in order to respond to an enquiry, process an order or provide our services, we may use it for those legitimate business purposes.
Personal information is handled in accordance with our Privacy Policy.
SECTION 16 — PERSONAL INFORMATION
Personal information submitted through our website or during our business relationship with you is handled in accordance with our Privacy Policy.
Our Privacy Policy explains how we collect, use, store and share personal information.

-
To scrape, copy or reproduce website content for commercial purposes without permission
-
To use the website in a way that could damage Ayaba Coffee Ltd or its customers
We may restrict or terminate access to the website where we reasonably believe that it is being misused.
SECTION 18 — EVENTS OUTSIDE OUR REASONABLE CONTROL
We will not be responsible for delay or failure to perform an obligation where the delay or failure results from circumstances outside our reasonable control.
These circumstances may include, without limitation:

Severe weather

Crop failure or agricultural events

Disease affecting crops

Where such an event occurs, we will take reasonable steps to communicate with affected customers and, where practical, work towards an appropriate solution.
SECTION 19 — LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
Subject to that, Ayaba Coffee Ltd will not be liable for indirect or consequential losses that are not reasonably foreseeable, including loss of profits, loss of business, loss of anticipated savings or loss of opportunity, except where such liability cannot lawfully be excluded.
Our liability in relation to a particular supply will be subject to any specific limitation or allocation of risk agreed in the relevant commercial contract, quotation or supply agreement.
Nothing in these Terms affects rights or remedies that cannot legally be excluded or restricted.
SECTION 20 — INDEMNITY
Where permitted by law, a business customer agrees to indemnify Ayaba Coffee Ltd against reasonable losses, claims, costs or expenses arising directly from the customer's unlawful use of our website, infringement of third-party rights, or material breach of these Terms.
This section does not apply to the extent that the relevant loss was caused by Ayaba Coffee Ltd's own breach, negligence or other liability that cannot lawfully be excluded.
SECTION 21 — SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be modified or removed only to the extent necessary.
The remaining provisions will continue to apply.
SECTION 22 — TERMINATION
We may suspend or terminate access to our website where reasonably necessary, including where there has been misuse of the website or a material breach of these Terms.
Termination of website access does not affect rights or obligations that arose before termination or any provisions that are intended to continue after termination.
SECTION 23 — ENTIRE AGREEMENT
These Terms, together with any specific quotation, order confirmation, supply agreement or other written commercial terms agreed between Ayaba Coffee Ltd and the customer, form the basis of the relevant relationship.
Where specific written commercial terms apply to a particular order, those terms will take precedence over these general website Terms to the extent of any inconsistency.
SECTION 24 — GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of England and Wales.
Subject to any mandatory legal requirements to the contrary, the courts of England and Wales will have jurisdiction over disputes arising from or relating to these Terms or your use of our website.

Ayaba Coffee Ltd is a company registered in the United Kingdom.
A couple of important changes I made deliberately:
-
Changed “United Kingdom law” to “laws of England and Wales”, which is the more precise formulation for a UK company based in England.
-
Removed the original consumer-focused language about “state or province,” minors, credit cards, colour accuracy, online retail, etc.
-
Added provisions relevant to green coffee as an agricultural product, including natural lot variation, samples, quality specifications, inspection and claims.
-
Kept the liability wording more restrained rather than copying the original “we are liable for almost nothing” approach. That matters because UK business-to-business exclusions can be subject to statutory reasonableness requirements. (Legislation.gov.uk)
